Which Documents You Need to Register an LLC in Uzbekistan in 2026?

In short. To register an LLC (MChJ in Uzbek), you file the founding documents in Uzbek: a charter, plus a founders' agreement if there are two or more founders. You also draw up a decision to set up the LLC and appoint a director. A foreign individual founder needs a passport, a PINFL and a digital signature. A foreign company needs proof of its registration and of its representative's authority, with an apostille or legalisation unless it comes from a Minsk Convention country. You don't need a lease, a bank letter or proof that the capital has been paid in.

We checked the facts against Uzbek legislation and official government services on 3 November 2026. This is an overview, not legal advice.

A new Law on Limited Liability Companies (No. ZRU-1137) has applied since 22 July 2026. [1] Below we go through the documents it requires and which of them actually go into the registration application.

Founding documents

An LLC's founding documents are its charter and its founders' agreement. When there's only one founder, the charter they approve is the only founding document. [1] You attach them to the application in the state language, Uzbek. [2]

Charter

The charter sets out how the company works and who runs it. By law it must include: [1]

  • the full and short company name;
  • the company's line of business;
  • its postal address;
  • its management bodies and their powers, including how decisions are made;
  • the amount of charter capital;
  • the size and nominal value of each member's stake;
  • members' rights and duties;
  • how a member leaves the company and what follows;
  • how a stake passes to another person;
  • how documents are kept and how members get information;
  • branches, representative offices, subsidiaries and affiliates.

You can add other provisions as long as they don't contradict the law, for instance a special approval procedure for large deals or extra conditions for selling stakes.

Do you have to list every activity? No. The charter states the line of business, but the LLC may also do lawful business that the charter doesn't mention. [1] Licensed activities still need a separate licence or permit.

Founders' agreement

You need a founders' agreement when two or more members set up the LLC. In it the founders commit to creating the company and set out: [1]

  • who the founders are;
  • the charter capital and each founder's stake;
  • how, how much, in what form and by when each contribution is paid;
  • liability for not paying a contribution;
  • how profits and losses are shared;
  • the company's bodies, how members leave and how new ones join.

Say two foreign investors set up an LLC with 100 million soums of charter capital: the agreement fixes their stakes and when and how each of them pays in.

The founders' agreement and any changes to it aren't registered with the state. [1] It's still one of the founding documents when the LLC is created.

Decision to set up the LLC

An LLC is created by its founders' decision. [1] A sole founder signs a decision of the sole founder; several founders hold a meeting and record it in minutes. The document usually covers:

  • setting up the LLC, its name and location;
  • the charter capital and members' stakes;
  • approval of the charter;
  • appointment of the director.

The decision isn't a founding document and isn't on the list of attachments to the registration application. [2] You still need it, because it shows the founders agreed, and the bank will ask for it.

Documents for a foreign individual founder

You'll need:

  • a valid passport;
  • a PINFL (JShShIR in Uzbek);
  • a digital signature to sign the online application;
  • a power of attorney if someone files for you.

A PINFL is the personal ID number that government systems use to identify you. You get it at a Public Services Centre or through an Uzbek embassy or consulate, free of charge and usually within 2 to 4 working days. [3]

The digital signature isn't optional: when an LLC has foreign founders, they sign the online application with their own signatures. [2]

Do you need a notarised translation of your passport? Usually not, since the passport is shown to confirm who you are. Notarised translations tend to be needed for powers of attorney and other documents in a foreign language.

Documents for a foreign company founder

If the founder is a company registered outside Uzbekistan, you have to show that it exists and that the signatory can act for it. That usually means:

  • an extract from the commercial register of its home country or a certificate of registration;
  • the company's own founding documents, if they're needed to confirm who has authority;
  • a decision by its governing body to set up an LLC in Uzbekistan;
  • proof of the signatory's authority and a power of attorney for the representative;
  • details of the beneficial owners.

Not all of these go into the registration application. Some are needed to draft the charter and prove authority, others for the bank's checks, so the exact set depends on the founder's structure and how you file.

The single-member restriction. An LLC can't have as its only member another company that itself has only one member, unless that member is a joint-stock company with one shareholder. [1] If your company has a single owner and you want a wholly owned LLC in Uzbekistan, check the structure before you register.

Apostille and legalisation

Uzbekistan has been a party to the Hague Apostille Convention since 15 April 2012. [4] Official documents from member countries need an apostille; documents from other countries need consular legalisation.

Countries of the 1993 Minsk Convention, which include Kazakhstan, Kyrgyzstan, Azerbaijan and other CIS states, are an exception: their official documents are accepted without either. [5]

Documents in a foreign language are translated into Uzbek, and the translation is usually notarised. Before you order a register extract abroad, check what it must contain, how recent it must be and how it should be translated, so you don't have to order it twice.

Information you need for the application

Name. Choose a full and a short name. The system checks whether it's free and holds it for you for 60 calendar days. [2]

Address. The application states where the company is located. The premises must belong to the company or be used lawfully, for example under a lease. The lease itself isn't on the list of attachments, [2] though you may need it later.

Charter capital. The founders set the amount and the stakes. There's no general minimum for an LLC; only licensing rules can set one. [1]

Director. Pick the person and record the appointment. If the director is a foreigner who'll work in Uzbekistan, check whether they need a confirmation of the right to work.

Requirements for the online application

You file through the Unified Portal of interactive public services [6] or in person at a Public Services Centre. Online filing has these rules: [2]

  • founding documents in Uzbek;
  • scanned PDFs are accepted at 200 dpi or higher;
  • each file can be up to 10 MB;
  • with several founders, each one confirms they agree to become a member, through the national ID system or Face-ID;
  • foreign founders sign the application with their own digital signature.

At a Public Services Centre you file paper documents, and a representative shows their ID and proof of authority.

What you don't need for registration

These aren't on the list of documents for registering an ordinary LLC: [2]

  • a letter confirming a bank account;
  • proof that the capital is paid in, since you have a year after registration to pay it; [1]
  • a lease;
  • a business plan;
  • a work permit for a founder who only owns a stake.

Laws on regulated activities can add their own requirements.

What the company gets after registration

The system issues an electronic certificate of registration and stores it with the founding documents in an electronic repository. The certificate and documents carry ID numbers and a QR code that links to the repository on the Unified Portal. [2]

Keep these on file:

  • the certificate of registration;
  • the charter, and the founders' agreement if there are several founders;
  • the decision or minutes on setting up the LLC and appointing the director;
  • documents confirming members' stakes.

You'll need them at the bank, for counterparty checks, when members change and when stakes are sold.
